Wholesale Buying Terms and Conditions

1. Introduction

These terms and conditions ("Terms") govern the purchase of products by wholesalers ("Buyer") from Studio Shringaar ("Seller"). By placing an order with Studio Shringaar, you agree to be bound by these Terms.

2. Eligibility

To qualify as a wholesaler, Buyers must provide valid business credentials, including a Tax Identification Number (TIN), and proof of a legitimate business entity. Studio Shringaar reserves the right to approve or deny wholesale applications at its discretion.

 

3. Ordering and Payment

  • Minimum Order Requirement: All wholesale orders must meet a minimum purchase amount of ₹25,000.

  • Order Placement: Orders can be placed through our wholesale portal or by contacting our sales team directly.

  • Payment Terms: Payment must be made in full before the shipment of goods. Accepted payment methods include credit card, bank transfer, or other agreed-upon methods.

  • Pricing: Wholesale prices are confidential and subject to change without notice. Prices quoted at the time of order placement will apply.

 

4. Shipping and Delivery

  • Shipping Costs: Shipping costs will be borne by the Buyer unless otherwise agreed. Shipping charges will be calculated and added to the invoice.

  • Delivery Time: Estimated delivery times will be provided at the time of order confirmation. Studio Shringaar is not responsible for delays caused by shipping carriers or customs.

  • Risk of Loss: Risk of loss or damage to goods passes to the Buyer upon delivery to the carrier.

5. Returns and Exchanges

  • Return Policy: Returns are only accepted for defective or damaged goods within 7 days of receipt. All returns must be pre-approved by Studio Shringaar.

  • Exchange Policy: Exchanges for different sizes or styles may be allowed based on stock availability and at the discretion of Studio Shringaar.

  • Return Shipping: The Buyer is responsible for return shipping costs unless the return is due to a defect or error by Studio Shringaar.

6. Intellectual Property All trademarks, service marks, trade names, logos, and product designs used by Studio Shringaar are the property of Studio Shringaar. The Buyer agrees not to use any of these intellectual properties without prior written consent.

7. Confidentiality The Buyer agrees to keep all pricing, terms, and other confidential information regarding Studio Shringaar’s wholesale program confidential and not disclose it to any third parties.

8. Termination Studio Shringaar reserves the right to terminate the wholesale agreement at any time, with or without cause, by providing written notice to the Buyer.

9. Limitation of Liability Studio Shringaar’s liability for any claim arising out of or in connection with this agreement shall not exceed the amount paid by the Buyer for the goods that are the subject of such claim. Studio Shringaar shall not be liable for any indirect, incidental, or consequential damages.

10. Governing Law These Terms shall be governed by and construed in accordance with the laws of the State of Maharashtra, India, without regard to its conflict of law principles.

11. Agreement By placing a wholesale order with Studio Shringaar, the Buyer acknowledges that they have read, understood, and agree to be bound by these Terms.
